Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Sakura Bookkeeping platform ("the Platform"), operated by Sakura Consulting and Administrative Services CC ("Sakura," "we," "us," or "our"), a company registered in Namibia.

By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. Service Description

Sakura Bookkeeping is a cloud-based bookkeeping platform designed for accountants, bookkeepers, and small businesses. The Platform provides tools for:

  • Managing charts of accounts and journal entries.
  • Generating financial reports, including trial balances, income statements, and balance sheets.
  • Tracking debtors, creditors, and aged balances.
  • Multi-tenant organisation management with role-based access control.

The Platform is provided as a software-as-a-service (SaaS) solution. We reserve the right to modify, suspend, or discontinue any part of the service with reasonable notice.

2. Account Responsibilities

When you create an account, you agree to:

  • Provide accurate, current, and complete registration information.
  • Maintain the security and confidentiality of your login credentials.
  • Promptly notify us of any unauthorised access to your account.
  • Accept responsibility for all activities that occur under your account.
  • Ensure that all users you invite to your organisation comply with these Terms.

You must be at least 18 years of age or the age of legal majority in your jurisdiction to create an account.

3. Acceptable Use

You agree not to use the Platform to:

  • Violate any applicable law, regulation, or third-party rights.
  • Upload or transmit malicious code, viruses, or harmful content.
  • Attempt to gain unauthorised access to other accounts, systems, or networks.
  • Use the Platform for money laundering, fraud, or any other illegal financial activity.
  • Interfere with or disrupt the integrity or performance of the Platform.
  • Reverse-engineer, decompile, or disassemble any part of the Platform.
  • Scrape, harvest, or collect data from the Platform by automated means without our written consent.

We reserve the right to suspend or terminate your account if you engage in prohibited conduct.

4. Intellectual Property

All rights, title, and interest in the Sakura Bookkeeping platform, including its design, code, features, documentation, trademarks, and branding, are owned by Sakura Consulting and Administrative Services CC.

You retain ownership of all data and content you enter into the Platform. By using the Platform, you grant us a limited, non-exclusive licence to store, process, and display your data solely for the purpose of providing the service.

You may not copy, modify, distribute, or create derivative works based on the Platform without our prior written consent.

5. Data Ownership and Portability

Your financial data belongs to you. At any time, you may request an export of your data in a standard format. Upon account termination, we will make your data available for export for a period of thirty (30) days, after which it may be permanently deleted in accordance with our Privacy Policy.

6. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • Sakura shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
  • Sakura shall not be liable for any loss of data, revenue, or profits, whether caused by errors, interruptions, or security breaches.
  • Our total cumulative liability for any claims arising from your use of the Platform shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.

The Platform is a bookkeeping tool and does not constitute financial, tax, or legal advice. You are responsible for verifying the accuracy of your financial records and seeking professional advice where necessary.

7. Indemnification

You agree to indemnify, defend, and hold harmless Sakura Consulting and Administrative Services CC, its officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

8. Termination

Either party may terminate these Terms at any time:

  • By you: you may delete your account at any time through the Platform settings or by contacting us.
  • By us: we may suspend or terminate your access if you violate these Terms, engage in fraudulent activity, or if we discontinue the Platform. We will provide reasonable notice where possible.

Upon termination, your right to use the Platform ceases immediately. Sections relating to intellectual property, limitation of liability, indemnification, and governing law shall survive termination.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Namibia, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the courts of Namibia. Before initiating formal proceedings, both parties agree to attempt resolution through good-faith negotiation.

10. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you through the Platform or by email at least fourteen (14) days before the changes take effect. Your continued use of the Platform after such changes constitutes acceptance of the updated Terms.
